These Terms & Conditions govern your use of modus.church and your engagement with MODUS128 consulting services. They do not constitute a formal consulting agreement. Specific consulting engagements are governed by a separate written agreement signed by both parties. MODUS128 recommends consulting a licensed North Carolina attorney regarding your specific legal obligations. These terms are governed by the laws of the State of North Carolina.

Section 01

ACCEPTANCE OF TERMS

By accessing or using modus.church (the “Site”), submitting an inquiry, subscribing to Filed Notes, or engaging MODUS128 for consulting services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, please do not use this Site or submit any requests for services.

These Terms apply to all visitors, users, and clients of MODUS128, operated by Ezekiel Taylor, Durham, North Carolina (“MODUS128,” “we,” “us,” or “our”).

SERVICES DESCRIPTION

MODUS128 provides church consulting services to traditional congregations, including but not limited to:

Media: Livestream setup and training, social media strategy, digital presence review.
Ministry Strategy: Organizational audits, leadership alignment, the Modus Blueprint, and implementation support.
Marketing: Community presence auditing, audience clarity, website review, first-time visitor experience design.
ChMS: Church management system selection, data migration, implementation, and staff training.

Services are also provided through the Filed Notes email resource and educational content published on this Site. The information provided on this Site is for general informational purposes only and does not constitute professional legal, financial, theological, or medical advice.

Section 03

ELIGIBILITY

Our services are intended for pastors, church leaders, ministry professionals, and board members aged 18 or older. By submitting an inquiry or engaging our services, you represent that:

You are at least 18 years of age.
You have the authority to enter into a consulting relationship on behalf of your church or organization.
All information you provide to us is accurate, current, and complete.

Section 04

INTELLECTUAL PROPERTY

All content on modus.church — including but not limited to text, graphics, logos, the MODUS128 name and brand, Filed Notes articles, the Modus Audit methodology, the Blueprint framework, the Legacy Pipeline concept, and all other proprietary materials — is the intellectual property of MODUS128 and protected by applicable copyright, trademark, and intellectual property laws of the United States and North Carolina.

You may not: reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from this Site without prior written permission from MODUS128.

You are permitted to share links to our content, reference our publicly available articles with proper attribution, and use our Site for its intended purpose of inquiring about consulting services.

Deliverables created specifically for your church during a consulting engagement (such as your Blueprint document) are owned by your church upon full payment of agreed fees, unless otherwise specified in your consulting agreement.

Section 05

USER CONDUCT & PROHIBITED USE

You agree to use this Site only for lawful purposes and in a manner consistent with these Terms. You agree not to:

Provide false, misleading, or fraudulent information in any form submission or communication.
Use the Site or our services to engage in any unlawful activity under North Carolina or federal law.
Attempt to gain unauthorized access to our systems, servers, or databases.
Transmit spam, malware, or any harmful code through our contact forms or communications.
Use automated tools to scrape, crawl, or harvest content from this Site without permission.
Impersonate MODUS128, Ezekiel Taylor, or any other person or entity.
Use our proprietary frameworks, methodologies, or branded content for commercial purposes without written authorization.

Section 06

CONSULTING ENGAGEMENTS

Submitting an inquiry through begin.html or any contact form does not create a consulting agreement or any obligation on the part of MODUS128 to provide services. All consulting engagements are subject to:

A mutual determination of fit between MODUS128 and the prospective client.
The execution of a separate, written consulting agreement outlining scope, fees, deliverables, timeline, and terms specific to your engagement.
Receipt of any required deposit or retainer as specified in the consulting agreement.

MODUS128 reserves the right to decline any engagement at our sole discretion. Results from consulting engagements vary based on factors including but not limited to church size, leadership alignment, implementation effort, and local context. MODUS128 does not guarantee specific outcomes. Confidential information shared during a consulting engagement is subject to the confidentiality provisions in your consulting agreement. In the absence of a written agreement, MODUS128 will treat information shared in confidence as confidential to the extent reasonably practicable.

DISCLAIMER OF WARRANTIES

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED BY MODUS128 ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MODUS128 does not warrant that:

The Site will be uninterrupted, error-free, or free of viruses or other harmful components.
The results of using our services will meet your specific expectations or produce particular outcomes for your church.
The information on this Site is complete, accurate, or current at all times.

The content on this Site, including Filed Notes articles, is for informational purposes only and does not constitute legal or financial advice specific to your situation.

Section 08

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable North Carolina law, MODUS128, Ezekiel Taylor, and any affiliates, employees, or contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

Your use of or inability to use this Site.
Any errors or omissions in the content of this Site.
Any consulting services provided or not provided by MODUS128.
Any unauthorized access to or alteration of your data.

In no event shall MODUS128’s total liability to you exceed the total fees paid by you to MODUS128 in the twelve (12) months preceding the event giving rise to the claim, or $500, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MODUS128, Ezekiel Taylor, and any affiliates, officers, agents, or contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

Your access to or use of this Site.
Your violation of these Terms.
Your violation of any rights of any third party.
Any false or misleading information you provide to MODUS128.

Section 10

GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Durham County, North Carolina for the resolution of any disputes arising from these Terms or your use of our services.

If informal resolution is unsuccessful, either party may pursue remedies available under North Carolina law. Nothing in this section prevents either party from seeking emergency injunctive relief where appropriate.

Informal Resolution First: Before initiating any formal legal proceeding, you agree to contact MODUS128 at hello@modus.church and provide a written description of the dispute. We will make a good-faith effort to resolve the matter informally within 30 days of receiving your notice.

Section 10

MODIFICATIONS TO TERMS

MODUS128 reserves the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Site or our services after any changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

If you disagree with any changes to these Terms, you should discontinue your use of the Site and contact us to discuss any active consulting engagements.
